Terms of Service

RTG Global Sourcing Limited Last updated: 19 Oct 2026

1. About these Terms

These Terms of Service ("Terms") apply to your use of rtgglobal.com (the "Website") and to the services that RTG Global Sourcing Limited ("RTG Global", "RTG", "we", "us" or "our") provides to you. "You" and "Client" mean the business or person who uses the Website, engages us, or pays us.

You accept these Terms when you use the Website, sign a proposal or statement of work, or pay an RTG invoice, payment link or checkout. If you are accepting for a company, you confirm that you have authority to bind it.

2. Who we are

RTG Global is an IT-enabled services and operations advisory firm. The contracting entity for these Terms, and for all payments made to RTG, is RTG Global Sourcing Limited, a company incorporated in Hong Kong with limited liability (BR No. 50808305).

3. Our services

We provide business-to-business IT-enabled, operations and advisory services, which may include:

Our services are for businesses and professionals. They are not meant for personal, family or household use.

4. Engagements, proposals and statements of work

Most engagements are covered by a written proposal, engagement letter, statement of work or services agreement (each an "SOW"). The SOW sets out the scope, deliverables, timeline, fees and any special terms. Where an SOW conflicts with these Terms, the SOW wins for that engagement. Where there is no SOW, these Terms and the description on the relevant invoice or payment link apply.

Work outside the agreed scope is billed separately, and only after you approve it in writing (email is enough).

5. Fees and payment

5.1 Fees. Fees are as stated in the SOW, invoice, payment link or checkout page. They may be fixed fees, milestone fees, monthly retainers, hourly or daily rates, or deposits.

5.2 Currency. Fees are quoted and charged in U.S. dollars (USD) unless the invoice or payment link states another currency. If you pay in a different currency, or your card issuer converts the charge, any conversion costs and exchange-rate differences are yours.

5.3 How to pay. We accept payment through secure payment links and hosted checkout pages provided by our payment processor, Airwallex. You can pay by credit or debit card or by any other method shown at checkout, or by bank transfer to the account on your invoice. Airwallex processes card payments for us. Payments are collected by RTG Global Sourcing Limited, and your payment is processed in accordance with the laws of the Hong Kong SAR. RTG does not see or store your full card number or security code.

5.4 When payment is due. Unless the SOW or invoice says otherwise, invoices are due within 14 days of the invoice date. Deposits and retainers are due before work starts or before each billing period.

5.5 Taxes. Fees do not include taxes. You are responsible for any sales, use, value-added, goods and services or similar taxes and any withholding that applies to your payment, other than taxes on RTG's own net income. If the law requires you to withhold tax, you will gross up the payment so RTG receives the full invoiced amount.

5.6 Expenses. Approved out-of-pocket expenses, such as travel and third-party filing or government fees, are billed at cost unless the SOW says otherwise. We will get your approval before incurring any expense over USD 250.

5.7 Late payment. If an invoice is overdue, we may pause work until it is paid. We may also charge late interest of 1% per month or the maximum rate the law allows, whichever is lower.

5.8 Payment confirmation. After a successful payment you will get a receipt from Airwallex or from us, sent to the email address you entered at checkout.

6. How services are delivered

We sell professional services only. We do not ship physical goods. We deliver our services remotely (by video call, email and shared documents) or on site, as agreed in the SOW. Deliverables such as reports, plans, assessments and templates are sent electronically.

Unless the SOW sets other timelines, we will confirm receipt of your payment and agree a kickoff date within 3 business days of payment. Delivery dates in an SOW are good-faith estimates. They depend on you providing timely information, access and decisions.

7. Refunds and cancellation

7.1 Work performed is non-refundable. Fees for services already performed, time already spent, and deliverables already provided are non-refundable.

7.2 Prepaid, unused fees. If you prepaid fees (for example a deposit, retainer or package) for work that has not been performed, you may ask for a refund of the unused part within 30 days of the payment date or of the end of the engagement, whichever comes first. We will refund the unused amount, less any non-refundable third-party costs we have already incurred on your behalf (such as government, filing or vendor fees).

7.3 Cancelling an engagement. You may cancel an engagement by giving us 14 days' written notice. You will pay for work performed and approved expenses incurred up to the end of the notice period, and section 7.2 applies to any balance.

7.4 Rescheduling sessions. Scheduled workshops, calls or site visits may be rescheduled free of charge with at least 48 hours' notice. Later cancellations may be charged as delivered, and non-refundable travel costs will be billed.

7.5 If we cancel. If we cancel an engagement for reasons that are not your fault, we will refund all prepaid fees for work not yet performed.

7.6 How to ask for a refund. Email info@rtgglobal.com with your invoice or payment reference and the reason for your request. We will reply within 5 business days. Approved refunds go back to the original payment method through Airwallex. Card refunds usually take 5–10 business days to reach your account, depending on your card issuer. Payment processing fees are not refunded, except where section 7.5 applies.

8. Billing questions, disputes and chargebacks

If you think a charge is wrong, please email info@rtgglobal.com within 30 days of the charge before you contact your bank or card issuer. Most billing questions can be settled quickly and directly.

If you start a chargeback or payment dispute without contacting us first, or for amounts that are actually owed, we may pause services while the dispute is open. We may also send the payment processor evidence of the work performed, including the SOW, correspondence and deliverables. Amounts that are found to be owed stay payable, together with any reasonable costs of recovery the law allows.

9. Your responsibilities

You agree to:

10. Confidentiality

Each party will keep confidential the other party's non-public business, technical and financial information that it receives in connection with an engagement. Each party will use that information only to perform or receive the services. This duty does not apply to information that is or becomes public through no fault of the receiving party, that the receiving party already knew or developed independently, or that it lawfully received from a third party. Either party may disclose confidential information where the law, a regulator or a court requires it, after giving the other party notice where that is allowed. A separate non-disclosure agreement or the SOW prevails if its terms differ. These duties last for 3 years after the engagement ends.

11. Intellectual property

11.1 Our materials. RTG keeps all rights in its pre-existing methods, frameworks, checklists, templates, tools, software and know-how, and in improvements to them ("RTG Materials").

11.2 Deliverables. Once you have paid the fees for them in full, you own the deliverables prepared specifically for you under an SOW. Any RTG Materials included in a deliverable remain RTG's and are licensed to you on a perpetual, non-exclusive basis for your internal business purposes.

11.3 Website content. The content on the Website, including text, logos and images, belongs to RTG or its licensors. You may not copy or reuse it for commercial purposes without our written permission.

12. Third parties and outcomes

As part of our work we may recommend or coordinate with third parties, such as outsourcing vendors, banks, payment providers, corporate secretarial firms, law firms and auditors. Those third parties make their own decisions and are responsible for their own services. We do not guarantee any particular result, including approval of a bank account, licence, registration, audit or vendor contract.

13. Professional disclaimers

RTG is an IT-enabled services and operations advisory firm. We are not a law firm, accounting firm, tax adviser, immigration adviser, auditor or licensed financial services provider. Nothing we provide, on the Website or in an engagement, is legal, tax, accounting, immigration, investment, treasury or financial advice. You should get that advice from qualified professionals in the relevant country.

Our SOC 2, PCI and control reviews are readiness and advisory work. They are not audits, attestations or certifications. We do not hold client money, transmit money, or provide banking or payment services.

14. Website use

Information on the Website is general and may change without notice. You may not misuse the Website: no interfering with its operation, trying to gain unauthorised access, or using it for unlawful purposes. Links to third-party websites are given for convenience, and we are not responsible for their content.

15. Warranties

We will perform services with reasonable skill and care, consistent with generally accepted industry practice. Apart from that, and to the fullest extent the law allows, the Website and services are provided "as is". We disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.

16. Limitation of liability

To the fullest extent the law allows:

These limits do not apply to liability that cannot be limited by law, such as liability for fraud. These limits also do not apply to your obligation to pay fees and expenses owed.

17. Indemnity

You will indemnify RTG against third-party claims arising from information or materials you provide to us, your use of our deliverables in breach of these Terms, or your violation of law. RTG will indemnify you against third-party claims that our deliverables, as we provided them, infringe that third party's intellectual property rights.

18. Term and termination

These Terms apply for as long as you use the Website or our services. Either party may end an engagement as set out in the SOW or section 7.3. Either party may end an engagement immediately by written notice if the other party materially breaches these Terms or the SOW and does not fix the breach within 10 business days of being notified. When an engagement ends, you will pay all fees earned and expenses incurred up to the end date. Sections 5, 7, 8, 10, 11, 13, 15, 16, 17, 19 and 21 continue to apply after it ends.

19. Governing law and disputes

These Terms, and any dispute or claim arising out of or relating to them or to any engagement (including non-contractual disputes or claims), are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region ("Hong Kong SAR").

The parties will first try to settle any dispute through good-faith negotiation between senior representatives. If a dispute is not settled within 30 days after either party gives written notice of it, the dispute will be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC") under the SIAC Arbitration Rules in force when the arbitration is commenced. The seat of arbitration is Singapore. The tribunal will consist of one arbitrator, and the arbitration will be conducted in English. Nothing in this section prevents either party from seeking urgent injunctive or other interim relief from any court of competent jurisdiction.

20. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date shows when they last changed. Changes do not affect an SOW that is already signed unless both parties agree in writing.

21. General

These Terms, together with any SOW, are the entire agreement between the parties about their subject matter. If any provision is held unenforceable, the rest stays in effect. Neither party is liable for delays caused by events beyond its reasonable control. You may not assign your rights without our written consent. Notices must be in writing, and email to the addresses the parties have given is enough. A party's failure to enforce a right does not waive it.
